Terms of Use

PLEASE CAREFULLY READ THESE AUTHORIZE.NET DEVELOPER COMMUNITY (“COMMUNITY”) TERMS AND CONDITIONS (“TERMS OF USE”) BEFORE ACCESSING, ACTIVATING, REGISTERING FOR, POSTING TO, CONTRIBUTING TO OR OTHERWISE USING THE COMMUNITY. BY CLICKING "I AGREE" OR A SIMILAR AFFIRMATION, OR BY USING OR ACCESSING THE COMMUNITY, YOU ACKNOWLEDGE AND AGREE THAT USE OF THE COMMUNITY IS GOVERNED BY THE TERMS AND CONDITIONS HEREIN AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT THESE TERMS. AUTHORIZE.NET MAY CHANGE THE TERMS OF USE BY UPDATING THIS PAGE. YOU SHALL THEREFORE CHECK THIS PAGE FROM TIME TO TIME TO REVIEW THESE TERMS OF USE TO ENSURE THAT YOU AGREE WITH ANY CHANGES. USING OR ACCESSING THIS COMMUNITY INDICATES YOUR CONTINUING ACCEPTANCE OF ANY UPDATES TO THE TERMS AND CONDITIONS. These Terms of Use and Authorize.Net’s Privacy Policy, located at http://www.authorize.net/company/privacy/, govern your use of this Community. By registering as a user or using the Community, you agree to abide by these terms. Authorize.Net reserves the right to modify these terms at its sole discretion at any time, effective upon posting of the modified terms on the Community. Any violation of these terms may result in the suspension or termination of your right to access the Community.

A. Rules of Conduct

To enroll in and/or use the Community, you must be over the age of 18.

You acknowledge that you are solely responsible for the content and consequences of the material you post, including its legality, reliability, appropriateness, and trademark and copyright ownership. You understand and agree that any material you upload to the Community will be considered non-confidential and non-proprietary. You grant Authorize.Net and the users of this Community the nonexclusive right and license to display, copy, publish, distribute, transmit, print, and use any such material. Authorize.Net may terminate your account or delete any of your Community postings at any time and for any reason.

You agree that you shall not upload, post or transmit to or distribute through the Community, any materials (including text, links, communications, software, images, sounds, data, or other information) that may:

1. contain any confidential information of you, your company, Authorize.Net or any other person or entity, including, but not limited to, proprietary information, trade secrets, personally identifiable information, cardholder information and the terms of Authorize.Net related agreements;

2. be unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory or otherwise objectionable or injurious to third parties;

3. constitute or encourage conduct that is unlawful or would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law;

4. violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, trade secret, privacy or any other proprietary right; and

5. constitute unauthorized advertising, junk mail, spam, chain letters, or any other form of unauthorized solicitation.

You also agree that you will not use any of the materials present on the Community in violation of applicable law or regulation.

B. Usage Guidelines

While using the Community, you agree that you will:

1. be courteous and respectful of others;

2. keep your post relevant to the payment industry and Authorize.Net's products, services and programs;

3. act responsibly to protect your and your company's private and confidential information; and

4. be careful, it is possible that the information on the Community could be incorrect, incomplete, unclear or misleading.

C. Moderator Role

In order to ensure the success of this Community, moderators will have privileges to edit/delete posts and posted materials, close threads, and block users from using the Community. Authorize.Net may remove any user or materials that, in its sole discretion, do not comply with the current Terms of Use or that are otherwise inappropriate for this Community, illegal, threatening, harassing, objectionable, or inaccurate. Authorize.Net is not responsible for any failure or delay in removing any such user or materials.

Although the Community will be moderated and the moderators will actively interact with Community members, Authorize.Net does not guarantee that customer or technical support will be available through the community or that the support will be accurate or error free. If you need technical support, please contact developer@authorize.net.

To report any concerns or possible violations of the Authorize.Net Community Terms of Use, please write to community@authorize.net. Please include the post's subject, the post author's screen name, the link of the post in question and any other applicable information in your email. Authorize.Net reserves the right to disclose your identity to any third party who makes reasonable claims that any material posted or uploaded by you to the Community constitutes a violation of their intellectual property rights, or of their right to privacy.

You may find posts that contain hyperlinks to content hosted and maintained by third parties. The linked sites are not approved or controlled by Authorize.Net and your access to any linked site is at your own risk. Authorize.Net makes no claim or representation regarding, and accepts no responsibility for, sites accessible by hyperlink from the Community.

E. DISCLAIMER.

MATERIAL SUPPLIED BY USERS OF THE COMMUNITY IS THE SOLE RESPONSIBILITY OF THE PERSON ORIGINATING AND OR POSTING THE MATERIAL AND AUTHORIZE.NET DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR ANY SUCH THIRD-PARTY MATERIAL.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE COMMUNITY IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMMUNITY IS PROVIDED "AS IS" AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND AUTHORIZE.NET HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE COMMUNITY, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. F. LIMITATION OF LIABILITY .

TO THE EXTENT NOT PROHIBITED BY LAW, NEITHER AUTHORIZE.NET NOR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES (OR ANY OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS OF EACH OF THE FOREGOING) OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE COMMUNITY, IS LIABLE FOR ANY PERSONAL INJURY, OR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, OR USE OF, THE COMMUNITY. AUTHORIZE.NET ASSUMES NO LIABILITY AND SHALL NOT BE LIABLE FOR ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR EQUIPMENT OR OTHER PROPERTY, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE COMMUNITY, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF AUTHORIZE.NET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THIS COMMUNITY SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.

G. Release. To the fullest extent permitted by applicable law, you hereby release, discharge, indemnify and hold harmless each of the Authorize.Net parties (defined below) from and against any claims, damages, expenses and liability arising from or related to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or part, directly or indirectly, from your use of this community.

H. Indemnity. You agree to indemnify and hold harmless Authorize.Net, its affiliates, parents and/or subsidiaries, service providers, and all of their respective officers, directors, employees and agents (collectively, the “Authorize.Net parties”) from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including reasonable attorneys' fees and other litigation expenses) incurred by Authorize.Net, arising out of or relating to (i) any breach by you or alleged breach of your representations, warranties, or obligations set forth herein; (ii) any damage or loss caused by the negligence, fraud, dishonesty or willful misconduct by you or any of your employees, agents; (iii) the reliability, accuracy, or legitimacy of information uploaded, posted, transmitted to or distributed through the community; (iv) any alleged or actual violation by you of any applicable laws, regulations or rules of (a) the credit card associations; (b) the Gramm Leach Bliley act; (c) or any regulatory body or agency having jurisdiction over the subject matter hereof; or (iv) any other violation of the Terms of Use.

I. Miscellaneous.

a. Assignment: You may not assign your rights to use the Community without Authorize.Net’s prior written consent.

b. Entire Agreement : These Terms of Use represent the entire agreement between you and us with respect to the Community, which may only be amended as described herein. To the extent any provision of the Terms of Use conflict with a provision of any other agreement that you may have with Authorize.Net (as applicable), the provision contained in these Terms of Use shall govern and control with respect to the Community, to the extent of such conflict.

c. Governing Law; Jurisdiction. These Terms of Use will be deemed entered into in California and will be governed by and interpreted in accordance with the Laws of the State of California, excluding (i) that body of law known as conflicts of law and (ii) the United Nations Convention on Contracts for the International Sale of Goods. The parties agree that any dispute arising hereunder will be resolved in the state or federal courts located in San Francisco County, California, and the parties hereby expressly consent to jurisdiction therein.

d. Additional Provisions : If any part of the Terms of Use is found void and unenforceable, it will not affect the validity of the balance of the Terms of Use, which shall remain valid and enforceable according to its terms. The failure to enforce any term contained herein on one occasion shall not prevent enforcement on any other occasion or the enforcement of any other term. Headings and captions shall not be considered included for purposes of interpretation, but are for convenience only.
